DOJ Suing to Block AT&T, Time Warner Merger

AT&T'south $85.four billion acquisition of Time Warner Inc. may be a no-go.

Bloomberg reports that the United states Department of Justice is gearing upwards to file an antitrust lawsuit in an effort to block the takeover. The Justice Department is expected to denote the lawsuit afterwards today.

Bloomberg says the suit follows "more a week of sparring over the deal," which was announced in October 2022. If the companies fight the lawsuit—as is expected, according to The Wall Street Journal—a judge would make up one's mind whether or not the bargain tin proceed.

In a statement, David R. McAtee Ii, AT&T's Senior Executive VP and General Counsel, said the lawsuit is "a radical and inexplicable departure from decades of antitrust precedent. Vertical mergers like this 1 are routinely canonical because they benefit consumers without removing whatever competitor from the marketplace. We run across no legitimate reason for our merger to exist treated differently."

Time Warner Inc. currently comprises Home Box Office, Inc., Turner, and Warner Bros. Entertainment Inc.—whose properties include HBO and Cinemax, CNN, TBS, TNT, and more than. When announcing the acquisition this fall, the companies talked up the opportunities for original content.

The news comes afterward reports that the DOJ wanted AT&T to sell CNN in order to become the deal approved. AT&T chief Randall Stephenson, even so, said he "never offered to sell CNN and have no intention of doing so."

Some viewed this as the Trump's administration's attempt to punish CNN, which President Trump has repeatedly, publicly criticized. Attorney Full general Jeff Sessions declined to annotate on that when he appeared on Capitol Hill last week. On the entrada trail, Trump said "we will not approve [the AT&T-Time Warner deal] in my administration considering it'south as well much concentration of power in the hands of too few."

UPDATE: During an early evening printing conference, AT&T'due south Stephenson confirmed the lawsuit. "We're surprised to be here and candidly I'm a fleck troubled" past the suit, he said.

Is the suit all about CNN? "Bluntly, I don't know," Stephenson responded. But any agreeement that requires a sale of CNN "is a not-starter," he said. "Nosotros cannot or will non...compromise the First Amendment protections of the press."
